ICOs are a form of crowdfunding used by companies to finance the development of their business or project. STOs are similar to an ICO but are subject to different regulatory requirements as the token usually grants financial rights. IEO (Initial Exchange Offerings) when token offered from a regulated Exchange. Tokens offering can also be made on de DeFi.
When considering an ICO/STO/IEO, an important distinction must be made between both “security” and “utility” tokens. A security token has equity features and gives the holder certain rights and interests, whereas a utility token allows its holder to make use of a company’s products or services.

Before any offering can take place, the issuer must seek approval and submit a registration statement to the SEC. Failure to do so correctly could result in civil and criminal liabilities being imposed on the issuer.
All ICO, STO and IEO offerings must be done through a registered ICO portal. To be allowed to operate ICO portals must; be a company established under the laws of Thailand; satisfy the minimum registered capital as required by SEC regulations; create issuer due diligence and product screening systems; check and approve issuers’ business plans and source codes for any smart contracts; conduct know-your-customer (KYC) and customer due diligence (CDD) procedures; and providing suitability tests for any retail investors.
Most ICO/STO/IEO operators are subject to licensing and regulatory requirements. However, there are specific situations where operators could be exempt from regulatory requirements.
