><p>Upon a Director leaving their position, the company must organise a Board of Directors and\/or a Shareholders\u2019 meeting. The Board of Directors Meeting<\/h3>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l75vs2nf-ea112f29b50a8b0d915c2cd4c72d33d4'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>The Board of Directors are obliged to call for the shareholders\u2019 meeting in order to pass the resolution regarding the change of the company\u2019s director and\/or the authority of the director.<\/p>\n<p>If the company\u2019s Articles of Association stipulate that the Board of Directors are entitled to change the authority of the director, no resolution from the Shareholders Meeting will be required for such change.<\/p>\n<p><strong>Timeline:<\/strong> Notice to call for the Board of Directors Meeting shall be as stipulated in the company\u2019s Articles of Association, not specifically stipulated by law.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7a4j0or-dd8d39ce1123d0a6693f12daf8bd6cf2'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><h3>2. The Shareholders Meeting<\/h3>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7a4jwzm-515f8232d6251e77759ddb4a2eca448f'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>Companies are required to provide adequate notice of the shareholders meeting. Furthermore, such notice must be published in a local newspaper no more than seven days before the date of the meeting.<\/p>\n<p>It is also required to send notice by registered post to shareholders whose names are listed in the register of shareholders. It will be deemed to have been received if the registered post has been sent to the shareholder\u2019s address as listed. This must be done seven days before the meeting.<\/p>\n<p>The shareholders meeting can only be held if one quarter of the company\u2019s shareholders are present.<\/p>\n<p><strong>Timeline:<\/strong> Notice to call for the shareholders meeting shall be sent to the shareholders at least 7 days before the meeting, if not stipulated otherwise in the company\u2019s Articles of Association.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7a4kb2p-fdc02cc7778d84249312967064dbbe55'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><h3>3.
