A recent Royal Decree (\u201cRD\u201d) was issued which granted income tax exemptions for investment in certain target industries companies. The Royal Decree relating to the Revenue Code Governing Exemption of Taxes and Duties (No. 750) B.E. 2565 (2022) became effective June 15th, 2022, and will remain in full effect until June 30th, The investor must have held the shares for at least twenty-four (24) months before the capital gain incurs; and<br \/>\nb. At least 80% of the Target Company\u2019s operating revenue must have arisen from business operations in Target Industries in each of the two (2) consecutive accounting periods prior to earning gains from the transfer of shares.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7a4j0or-dd8d39ce1123d0a6693f12daf8bd6cf2'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><h3>Investments Through VCTs<\/h3>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7a4jwzm-515f8232d6251e77759ddb4a2eca448f'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><strong>Unit Transfer Gains<\/strong><\/p>\n<p>Any gains earned from the transfer (disposal) of units in a VCT, which were invested in a Target Company, will be exempt from PIT and CIT provided that the investor held the shares for at least twenty-four (24) months before the gain arose.<\/p>\n<p>Furthermore:<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7iu32dp-da3959de0fdea7e1443b32bb0cf3d10a'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>i. If the VCT had no retained earnings, the capital gain exemption is only in proportion to the VCT\u2019s investment in Target Companies. Furthermore, at least 80% of the Target Company\u2019s operating revenue must have arisen from business operations in Target Industries in each of the two (2) consecutive accounting periods before the gain from the transfer of units arises. The required proportion of investment in Target Companies by the<br \/>\nVCT shall be prescribed by the Director General (\u201cDG\u201d) of the Revenue Department.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7iu3gya-dff3fb5a65550171f4ae838322cb2136'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>ii. If the VCT has retained earnings, and it had retained earnings, in each of the two (2) accounting periods preceding the unit transfer, which arose from investment in a Target Company, which has earned at least 80% of its total income from business in target industries, then the entire gain from transfer of units will be exempt from PIT or CIT.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7iu3xh9-ba84cf544b5dcd4fb9b83e3bf609d8aa'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><strong>Dissolution Gains<\/strong><\/p>\n<p>The revenue earned by a unit holder in a VCT, upon dissolution of that VCT is exempt from income recognition, however only in proportion to the VCT\u2019s investment in Target Companies. Furthermore, at least 80% of the Target Company\u2019s operating revenue must have arisen from business operations in Target Industries in each of the two (2) consecutive accounting periods preceding the VCT\u2019s dissolution.<\/p>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\" id=\"style-css-av-kt2ae-9f56cca4d2f40bb48b4b8137b8ca7e39\">\n#top be properly registered as a private equity company under the Thailand SEC.<\/li>\n<li>Must not have claimed any of the income tax exemptions under the following Royal Decrees:<\/li>\n<\/ul>\n<ol>\n<li>RD (No. 481) 2009<\/li>\n<li>RD (N0. 597) 2016<\/li>\n<li>RD (No. 636) 2017<\/li>\n<\/ol>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l7iuddc4-273712c987e02b57543a590f09331784'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>For a <strong>venture capital trusts<\/strong> to qualify they must:<\/p>\n<ul>\n<li>be registered as a VCT with the SEC.<\/li>\n<li>have 20,000,000 THB or more in paid up capital.<\/li>\n<li>be
