However, a foreigner may own land in Thailand through a Thai company. The ownership of this company must satisfy the conditions of Section 97 of the Land Code.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l93yaitu-3a0d21bb17b6d8e526ac30887b67f036'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>Section 97 requires the company to have at least 51% of the total number of shares owned by Thai nationals. The remaining 49% can be owned by foreigners. In practice, many foreigners operate under a majority Thai owned company. In order to ensure the foreigner has control of its investment, a shareholder agreement or other contractual arrangements should be prepared.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l95e182z-035ab054aaeee06ed1d26d02f744fbe1'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p>In recent years, most land offices refuse to register land under a Thai company with a preference share structure that grants additional voting rights to the foreign shareholders. Completion of a Share Transfer instrument<\/strong><\/p>\n<p>In order to start the process, a transferor has to execute a \u2018Share Transfer Instrument\u2019 with the transferee. A share transfer instrument needs to clearly state the names of the transferee and transferor, the number of shares being transferred and the share numbers. Finally, the instrument must be signed by both parties and at least 1 witness.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l9e14obz-790f5b3f33ba450b5456459f457d75ad'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><strong>2. Update the Shareholders Register<\/strong><\/p>\n<p>Once the transaction has been completed, the company&#8217;s Shareholder Register must be updated accordingly and the change registered with the Ministry of Commerce. Failure to do so will invalidate the transfer.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l9e15ck1-1442b5cb68077f73797e5f4994c5386b'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><strong>3. Issuing a new share certificate<\/strong><\/p>\n<p>As mentioned above, <a href=\"https:\/\/belaws.com\/thailand\/incorporation\/register-a-limited-company\/\">Thai Limited Companies<\/a> are required to issue a share certificate to the transferee.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-l9e15pls-816735ed2814d3b5fd4666d29df085a0'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><strong>4. Payment of Stamp Duty<\/strong><\/p>\n<p>In Thailand, the transfer of shares is subject to the payment of Stamp Duty.
