The amendment also contains new processes relating to the merger of private limited companies.<\/span><\/p>\n<\/div><\/section><\/p><\/div><div class='flex_column amendment to the CCC introduces the following changes to corporate governance and transactional rules in Thailand:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Currently, at least three shareholders are required when incorporating a new company. Under the new amendment, only two shareholders will be necessary.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The requirement to submit a notice calling a general meeting of the shareholders will no longer be required to be published in a local newspaper and now only requires the notice to be sent to existing shareholders via post. However, if a company issues bearer certificates, a notice calling a general meeting of shareholders must still be published either in a local newspaper or via electronic media.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">To pass any resolution during a general meeting of shareholders, at least two shareholders must be present. These shareholders can be present either in person or via proxy and must represent at least one-quarter of the capital of the company.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Distributing dividends must be completed within one month of a shareholders\u2019 meeting or the directors passing a resolution on dividend payment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A company may be dissolved by order of the court due to the number of shareholders decreasing to one.<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\" id=\"style-css-av-893pgz-417cf0891102d15fa8bff673921feb47\">\n#top .hr.hr-invisible.av-893pgz-417cf0891102d15fa8bff673921feb47{\nheight:30px;\n}\n<\/style>\n<div  class='hr av-893pgz-417cf0891102d15fa8bff673921feb47 hr-invisible  avia-builder-el-18  el_after_av_textblock  el_before_av_textblock  av-medium-hide av-small-hide av-mini-hide'><span class='hr-inner '><span class=\"hr-inner-style\"><\/span><\/span><\/div><br \/>\n<section  class='av_textblock_section av-gfh9xy-e0bde1d55d8468f28ed18b9996433e48'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock h2_bleu_post'  itemprop=\"text\" ><h2>What does the amendment say about mergers?<\/h2>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-dksn8m-8a3788d84dfb83d2abe7e575458a98c8'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400;\">As it stands, the current version of the Civil and Commercial Code only recognizes the concept of \u201camalgamation\u201d of companies. The amalgamation of companies is the formation of a new company by the amalgamation of at least two companies. After the amalgamation has been completed, one of the amalgamating companies can&#8217;t remain an independent entity.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The amendments to the CCC will add the new term \u201cmerger\u201d as another possible type of business combination.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">A merger will be where, one company is merged into another company, and the merged company will be dissolved while the other will survive. This means that if company A will be the surviving entity, company B will be dissolved and company A will maintain its status as a juristic person, automatically assuming the assets, liabilities, rights, obligations, and responsibilities of Company B.<\/span><\/p>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\"
