However, this isn\u2019t always possible due to the <a href=\"https:\/\/belaws.com\/thailand\/foreign-business-act-in-thailand\/\" target=\"_blank\" rel=\"noopener\">Foreign Business Act restrictions<\/a>. resolutions, is given the power to represent the company. Accordingly, the shareholders, through these shareholder resolutions play a key role in the management of the company.<\/span><\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvv5cg5-823bccecbbcfe421dfb6c34949d7c9f6'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><b>Participation in shareholders\u2019 meetings<\/b><\/p>\n<p><span style=\"font-weight: 400\">Thai law states that apart from the board of directors, only shareholders representing at least one-fifth (1\/5) of the company\u2019s total voting rights can call for a meeting and set the agenda.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">However, Thai law also protects the rights of minority shareholders and allows them to participate in the shareholder meeting through three different means:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Sufficient information (the notice): The mandatory notice for the meeting shall provide detailed and relevant information to allow the shareholder to be aware of all the issues to be discussed. As part of this process, Thai law requires a formal notice to be sent to the shareholders (no more than seven days before the meeting, 14 days for a special resolution). Companies are also required to publish the details of the meeting in a local newspaper (soon to be removed as a requirement due to an <a href=\"https:\/\/belaws.com\/thailand\/amendments-to-the-civil-and-commercial-code\/\" target=\"_blank\" rel=\"noopener\">amendment to the Thai CCC<\/a>). The non-compliance with these rules could nullify all the decisions taken in the shareholders\u2019 meeting.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Proxy voting: Thai law gives the shareholders the right to vote in meetings even when they cannot physically attend.\u00a0<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholders also possess the right to propose an agenda for the meeting. Typically, the issues that are to be discussed in the shareholders\u2019 meetings are offered by the management; Thai law allows shareholders to make proposals for the agenda (provided that the number of shareholders meets the legal criteria).<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvv75hv-a37456cd86d08c9b30672c656e1dd19c'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><b>Voting rules<\/b><\/p>\n<p><span style=\"font-weight: 400\">Depending on the total amount of shares owned, the shareholders\u2019 influence on a shareholders\u2019 resolution will be as follows (based on the assumptions that no special articles of association or shareholders agreement grant additional rights to minority shareholders):<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholder representing more than 75% of the voting rights: Absolute control over all the decisions to be made at shareholders\u2019 meetings due to the capacity to pass ordinary and special resolutions on its own (such as capital increase, liquidation or winding up);<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholder representing more than 50% of the voting rights, but less than 75%: Power to pass any ordinary resolutions at shareholders\u2019 meetings, but the agreement of other shareholders is needed to pass special resolutions;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholder representing more than 25% of the voting rights, but less than 50%: Right to require the company to convene an extraordinary meeting and power to block special resolutions;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholder representing 20-25% of the voting rights: Right to require the company to convene an extraordinary meeting but not able to influence the decision to be taken;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Shareholder representing less than 20% of the voting rights: This Shareholder on its own is not able to require the company to convene a shareholders\u2019 meeting and cannot influence the passing of any special resolution or ordinary resolution.<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\" id=\"style-css-av-332m6d-48f8d0d14c57c2d26e97f25ce6efc19a\">\n#top .hr.hr-invisible.av-332m6d-48f8d0d14c57c2d26e97f25ce6efc19a{\nheight:30px;\n}\n<\/style>\n<div  class='hr av-332m6d-48f8d0d14c57c2d26e97f25ce6efc19a hr-invisible  avia-builder-el-23  el_after_av_textblock  el_before_av_textblock  av-medium-hide av-small-hide av-mini-hide'><span class='hr-inner '><span class=\"hr-inner-style\"><\/span><\/span><\/div><br \/>\n<section  class='av_textblock_section av-lbvv9amp-3d4011781707b866a01a956c50f6f731'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock h2_bleu_post'  itemprop=\"text\" ><h2>Minority shareholders\u2019 participation in the appointment of board members<\/h2>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-dksn8m-8a3788d84dfb83d2abe7e575458a98c8'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400\">The Civil and Commercial Code does not specify a specific number of directors, therefore, private companies can have a minimum of one director (without a maximum number). Furthermore, they are also entitled to obtain a copy of a company\u2019s balance sheet for a fee not exceeding THB 20.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">The company is also required to send out the financial statements to all shareholders at least three days prior to the Annual General Meeting and also to disclose a copy of the financial statements at the meeting as well. Please note, the shareholder who brought the action must not have approved the acts of the directors in question and must submit its action within six months after the date of the general meeting on which such acts were approved.<\/span><\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvvdf4f-2281607a0e8b295b70b9e2e5a0c2e6b5'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400\">Directors, therefore, have the duty to ensure the following:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">that payment for shares by the shareholders is actually made;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">the existence and regular keeping of books and documents prescribed by law;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">the proper distribution of dividends and interest as prescribed by law;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">the proper enforcement of the resolutions of general meetings.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400\">Moreover, without the consent of the shareholders\u2019 meeting, a director cannot undertake activities similar to or compete with the ones carried on by the company.<\/span><\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvvds69-71f110eeffae0d9e47e3ab2d250bddf5'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><b>Revocation of resolutions<\/b><\/p>\n<p><span style=\"font-weight: 400\">Any shareholder, regardless of the number of shares held, may challenge the calling of a meeting or passing of a resolution contrary to the provisions of the CCC or the company\u2019s articles of association.<\/span><\/p>\n<p><span style=\"font-weight: 400\">The claim must be made in Court. The action could cancel the resolution or any resolutions passed at such irregular general meetings. The application is filed within one month after the date of the resolution.<\/span><\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvve5up-e4581d9e893416ecb066a177dcd38f04'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><b>Winding up of the company<\/b><\/p>\n<p><span style=\"font-weight: 400\">In certain situations, a shareholder may petition the court for the company to be wound up.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Such situations include:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">If the default is made in filing the statutory report or in holding the statutory meeting;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">If the company does not commence business within a year from the date of registration or suspends its business for a whole year;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">If the business of the company can only be carried on at a loss and there is no prospect of its fortunes being retrieved;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">If the number of shareholders is reduced to less than
