This amendment made significant changes to the CCC, and as a result, some companies have been experiencing a little confusion as to their compliance requirements.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Therefore, the DBD has clarified that even though the <\/span><a href=\"https:\/\/belaws.com\/thailand\/amendments-to-the-civil-and-commercial-code\/\" target=\"_blank\" rel=\"noopener\"><span style=\"font-weight: 400;\">amended Civil and Commercial Code (CCC)<\/span><\/a><span style=\"font-weight: 400;\"> is now in full effect, companies with articles of association that were drafted in accordance with the previous version of the CCC, will still have to follow the previous requirements for publication of shareholders\u2019 meeting notices.<\/span><\/p>\n<\/div><\/section><\/p><\/div><div class='flex_column av-bmm5w-737f28be9bb008277e27311ae0eaf479 av_one_half  avia-builder-el-10  el_after_av_one_half  avia-builder-el-last style=\"text-align: left;\">Key points<\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The recent amendment to the Civil and Commercial Code came into effect on the 7th of February.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The new amendment to the CCC changes corporate governance and transactional rules in Thailand.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">If a company&#8217;s articles of association were drafted under the previous version of the CCC, they are still required to announce a general meeting of shareholders in a local newspaper.<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-kscytnto-6f8bd4ca8aa4b5f4311495ee3b7802c6'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock h2_bleu_post'  itemprop=\"text\" ><h2>What amendments were made to the CCC?<\/h2>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-8ohy4-ba2bc652f51fc02aca7b4faa3ec86cd2'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400;\">The new amendment to the CCC introduces the following changes to corporate governance and transactional rules in Thailand:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Only two shareholders are necessary to register a company (instead of 3 previously)<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">The requirement to submit a notice calling a general meeting of the shareholders will no longer be required to be published in a local newspaper and now only requires the notice to be sent to existing shareholders via post. However, if a company issues bearer certificates, a notice calling a general meeting of shareholders must still be published either in a local newspaper or via electronic media.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">At least two shareholders must be present to pass any resolution during a general meeting of shareholders. These shareholders can be current in person or via proxy and must represent at least one-quarter of the company&#8217;s capital.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Distributing dividends must be completed within one month of a shareholders&#8217; meeting or the directors passing a resolution on dividend payment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">A company may be dissolved by court order due to the number of shareholders decreasing to one.<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\" id=\"style-css-av-893pgz-417cf0891102d15fa8bff673921feb47\">\n#top .hr.hr-invisible.av-893pgz-417cf0891102d15fa8bff673921feb47{\nheight:30px;\n}\n<\/style>\n<div  class='hr av-893pgz-417cf0891102d15fa8bff673921feb47 hr-invisible  avia-builder-el-18  el_after_av_textblock  el_before_av_textblock  av-medium-hide av-small-hide av-mini-hide'><span class='hr-inner '><span class=\"hr-inner-style\"><\/span><\/span><\/div><br \/>\n<section  class='av_textblock_section av-gfh9xy-e0bde1d55d8468f28ed18b9996433e48'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock h2_bleu_post'  itemprop=\"text\" ><h2>Where has the confusion arisen?<\/h2>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-lbvv3xia-d149a1fd03f97fef5ae6d28412b0c71d'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400;\">Under the newly amended CCC, the requirement for companies to publish a notice for the calling of general shareholders meeting in a local newspaper has been removed. Now companies can call a general meeting of shareholders by either;<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">sending a notice by post (acknowledgment of receipt) or,<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">delivering the notice in person.\u00a0<\/span><\/li>\n<\/ul>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-ldwwgid0-9cedabba850f32cc7fa82174ec390772'  itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/BlogPosting\" itemprop=\"blogPost\" ><div class='avia_textblock text_16'  itemprop=\"text\" ><p><span style=\"font-weight: 400;\">Please note that any company that has issued share certificates to bearers must publish a notice in a local newspaper or via electronic means.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Despite these new updated requirements, the DBD has stated that the new CCC will not result in a universal change in how companies are required to inform their shareholders about the calling of a general shareholders&#8217; meeting. Therefore, if a company&#8217;s articles of association were drafted under the previous version of the CCC, it is still a mandatory requirement for them to announce a general meeting of shareholders in a local newspaper.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">If a company wishes to follow the new amendments and no longer has to publish this announcement in a newspaper, it will have to modify its articles of association.<\/span><\/p>\n<\/div><\/section><br \/>\n\n<style type=\"text\/css\" data-created_by=\"avia_inline_auto\"
